Service provider: Epic Invoicing Oy
1. Introduction
Welcome to Eemel and EpicSign (the "Service"). The Service is provided by Epic Invoicing Oy (the "Provider"). Companies using the Service (the "Customer") and the Customer's own customers ("Third Parties") use the Service in accordance with these Terms of Service (the "Terms").
2. Use of the Service
The Service is used in a web browser at the following addresses: www.eemel.com, app.eemel.io, www.eemel.fi, app.eemel.fi, www.epicsign.ai, app.epicsign.ai, www.epicsign.fi, app.epicsign.fi, and any other addresses that may later be required.
The Provider undertakes to ensure that the Service is available around the clock. The Service remains available to the Customer for as long as the Customer pays the applicable subscription fees and continues to use it.
3. Customer obligations
Proper use of the Service: The Customer agrees to use the Service for lawful purposes and to comply with all applicable laws and regulations.
Security: The Customer keeps their username and password confidential and does not share them with third parties.
Accuracy of information: The Customer provides and maintains accurate information about themselves and their company, including contact and payment details.
4. Security and privacy
Protection of personal data: The Customer is responsible for protecting personal data collected or processed via the Service in accordance with applicable data protection legislation.
Reporting misuse: The Customer notifies the Provider without delay of any security threats or data breaches they become aware of.
5. Intellectual property
The Customer agrees to respect the intellectual property rights of third parties, including copyrights and trademarks.
6. Payments
Payment obligations: The Customer must pay all fees arising from the Service on time and comply with the agreed payment terms.
Late payments: If a payment is delayed, the Customer must pay late payment interest and collection costs. If an invoice remains unpaid for more than 3 weeks past the due date, access to the Service may be suspended.
7. Limitation of liability
Reporting damages: The Customer notifies the Provider of any damages or errors so that the Provider can take corrective action.
The Provider is not liable for indirect or direct financial losses. If the Service is unavailable for more than 48 hours, the Provider will, upon the Customer's request, refund up to 2 months of subscription fees. Force majeure events such as natural disasters or hosting outages are excluded.
8. Termination and account deletion
The Customer may discontinue use of the Service at any time and request deletion of their data, where permitted by law. The Provider does not refund prepaid fees upon termination.
9. Customer data
All data entered by the Customer remains the property of the Customer. The Provider must delete the Customer's data upon request after termination, unless retention is required to fulfil statutory obligations.
10. Intellectual property of the Service
The Service and its content, including software, text and graphics, are the property of the Provider or its licensors. The Customer may not copy, modify, distribute, sell or rent any part of the Service without the Provider's permission.
11. Pricing and fees
The Provider may revise the Service's prices and will notify the Customer at least 30 days before the change takes effect. If the Customer does not accept the new pricing, they may terminate the Service before the new pricing takes effect.
12. Privacy and personal data
The Provider is committed to protecting the Customer's personal data in accordance with applicable data protection legislation. The Customer should review the Service's privacy policy.
13. Changes to the Terms
The Provider may amend these Terms at any time. Changes take effect as soon as they are published. By continuing to use the Service after changes, the Customer accepts the changes.
14. Governing law and dispute resolution
These Terms are governed by the laws of Finland. Any disputes shall primarily be resolved through negotiation, and, if necessary, before the District Court of Pirkanmaa, Finland.
